Terms of Service

These terms govern use of Uxel’s college-planning, recommendation, application-management, and essay-feedback services.

1. Agreement and eligibility

These Terms of Service (“Terms”) are a binding agreement between you and Uxel (“Uxel,” “we,” “us,” or “our”) governing your access to our websites, applications, and college-planning services (the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 13 years old. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you. If you use the Services for a school or organization, you represent that you have authority to bind it; a separate written agreement controls if it conflicts with these Terms.

2. What Uxel provides

Uxel offers tools for college discovery and matching, application planning and tracking, essay feedback, interview preparation, and related educational guidance. The Services provide general informational and organizational support. Uxel is not a college, university, admissions office, school counselor, law firm, or financial-aid adviser.

Recommendations and AI-generated content may be inaccurate, incomplete, or outdated and must be independently reviewed. Uxel does not guarantee admission, scholarships, financial aid, visa approval, academic outcomes, or the availability or accuracy of third-party information. You remain responsible for verifying requirements, deadlines, fees, and submissions directly with each institution.

3. Accounts and user responsibilities

You agree to provide accurate, current information; keep credentials confidential; use only your own account unless authorized; and promptly notify us of suspected unauthorized use. You are responsible for activity under your account and for maintaining backups of important application materials.

A parent, guardian, counselor, or school administrator may manage or view an account only when properly authorized. Do not misrepresent your identity, qualifications, achievements, or relationship to another user.

4. Application integrity and acceptable use

Uxel’s feedback is intended to help students reflect, revise, and communicate in their own authentic voice. You—not Uxel—are responsible for the originality, truthfulness, and final form of every application. You must follow each institution’s rules about artificial intelligence, outside assistance, authorship, and disclosure.

You may not use the Services to:

  • submit false, plagiarized, deceptive, or impersonated application material;
  • ask us to complete an assessment or application in violation of school or institutional rules;
  • violate law or another person’s privacy, intellectual property, or other rights;
  • upload malware, probe security, bypass limits, scrape at scale, reverse engineer, or disrupt the Services;
  • harass, exploit, or endanger another person, including a minor; or
  • use outputs or access to build or train a competing model or service except with written permission.

We may investigate violations and suspend or terminate access when reasonably necessary to protect users, Uxel, or the integrity of the Services.

5. Your content and feedback

You retain ownership of essays, profile information, and other content you submit (“User Content”). You grant Uxel a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and create technical modifications of User Content only as needed to operate, secure, improve, and provide the Services, comply with law, and honor your settings. This license ends when the content is deleted from active systems, except for limited backup, legal, security, or de-identified copies.

You represent that you have the rights and permissions needed to submit User Content and that it does not violate law or third-party rights. If you send product ideas or feedback, you permit us to use them without restriction or compensation, but we will not publicly identify you without permission.

6. Uxel materials and license

The Services, including software, design, text, graphics, databases, and Uxel trademarks, are owned by Uxel or its licensors and protected by law. Subject to these Terms, Uxel grants you a personal, limited, revocable, non-exclusive, non-transferable license to use the Services for their intended educational purpose. No other rights are granted.

7. Third-party services and institutions

The Services may link to or integrate with universities, payment processors, AI providers, and other third parties. Their terms and privacy practices govern their services. Uxel does not control and is not responsible for third-party content, decisions, systems, availability, or acts. A link or recommendation is not an endorsement or a promise that an institution is suitable for you.

8. Subscriptions, billing, and cancellation

Prices, billing periods, included features, and any trial terms are shown at purchase. By purchasing, you authorize Uxel and its payment provider to charge the disclosed amounts, taxes, and recurring fees until cancellation. Unless stated otherwise at purchase, subscriptions renew automatically for the same period.

You may cancel through the available account controls or by contacting contact@uxel.app. Cancellation stops future renewals but does not ordinarily refund the current billing period, except where required by law or expressly stated at purchase. We may change future pricing with advance notice required by law. Removing the app or abandoning an account does not itself cancel a subscription.

9. Changes, availability, and termination

We may add, modify, suspend, or discontinue features and may set reasonable usage limits. We will provide notice when required and will not materially reduce a paid service during a prepaid term without an appropriate remedy where required by law.

You may stop using the Services at any time. We may suspend or terminate access for a material or repeated breach, fraud, security risk, legal requirement, or harm to others. Where practical, we will give notice and an opportunity to cure. Provisions that by their nature should survive—such as ownership, disclaimers, liability limits, indemnity, and dispute terms—will survive termination.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UXEL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UXEL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OPPORTUNITIES, ADMISSIONS, OR SCHOLARSHIPS, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UXEL’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UXEL FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Uxel and its affiliates, officers, employees, and agents from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, your User Content, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Uxel’s own conduct. If you are a consumer, this section applies only where and to the extent enforceable under applicable law.

13. Governing law and disputes

Before filing a formal claim, you and Uxel agree to try in good faith for 30 days to resolve it informally by emailing contact@uxel.app. These Terms are governed by the laws of the U.S. state in which Uxel has its principal place of business, without regard to conflict-of-law rules. Courts located in that state will have jurisdiction, except that either party may seek injunctive relief in any competent court and consumers may bring claims in another forum when applicable consumer law permits.

Nothing in these Terms limits non-waivable consumer rights. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. General terms

These Terms and any referenced policies are the entire agreement regarding the Services unless a separate written agreement applies. If a provision is unenforceable, it will be modified only as necessary and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, or transfer of the Services. We are not liable for delay caused by events beyond reasonable control.

15. Changes to these Terms

We may update these Terms to reflect changes to the Services, law, or business practices. We will post the revised Terms and update the effective date. If a change is material, we will provide additional advance notice when reasonably practicable or legally required. Continued use after the effective date means you accept the revised Terms; if you do not agree, you must stop using the Services.
